    Job Description & Requirements

    Dean Foods Company is seeking an attorney experienced in securities, corporate and commercial law to support the Company’s SEC reporting and governance function, and to assist with a wide variety of other corporate matters and commercial contracts.  This attorney will also have a lead role in supporting Dean’s IT department.  The position will report to Dean’s Deputy General Counsel.  Dean Foods is seeking a solution-oriented individual who has the ability to provide practical advice and operate at a high level of sophistication in a fast-paced environment. 

    • Assist in preparation 1933 Act and 1934 Act filings (registration statements and reports), including Section 16 compliance and reports, Forms 10-Q, 10-K and 8-K.
    • Draft Proxy Statement and prepare for annual stockholder meetings.
    • Interact with leaders from Investor Relations, Treasury, Finance, Human Resources, and Corporate Communications departments in meeting reporting and disclosure requirements.
    • Draft or review IT related agreements and provide counsel on IT related issues.
    • Provide advice to business leaders regarding a wide variety of commercial agreements, including customer contracts, hedging arrangements, and procurement contracts, and draft and negotiate same.

    Minimum Requirements  

    • At least 5+ years practicing law with a strong law firm background.  Some time working as in-house counsel for a public company could be helpful, but is not required.
    • Law degree and law license in good standing required.
    • Outstanding written and oral communication skills.
    • Unquestioned ethics and integrity.
    • Detailed understanding of applicable securities laws and day-to-day experience with same.
    • Strong business acumen and ability to understand business consequences of legal advice with a client-focused attitude.
    • Hands-on, roll up the sleeves attorney who can be an effective team member and work well under deadlines.
    • Ability to interact professionally with people at all levels of the company, ranging from the senior most executives to operational employees, and effectively manage outside counsel.
