Based in Dallas at Dean Foods HQ and reporting to the CFO, this position will lead the entire Corporate Development strategy and processes. This includes the development of a customized multi-year M&A pipeline that is well aligned with our strategic plan. An important amount of creativity will be required in terms of exploring niche deals. The job also entails leading initial discussions with target companies, due diligence, financial analysis, valuation and negotiations of definitive agreements, as well as the development of integration plans. The VP of Corporate Development will identify strategic investment opportunities (targets) and communicate recommendations to Senior Management and BOD of Dean Foods. It will lead all aspects of the M&A process after a target has been aligned, including providing the required strategic direction to the function’s internal as well as external resources. The job will also lead the assessment of operational, human resources, and investment strategy compatibility.
Designs Corporate Development strategy and successfully communicates vision and mission to Executive Team and Board.
Builds a solid M&A pipeline of potential targets for investment, acquisition or strategic partnership in the Dairy, CPG and FMCG related arenas that meet critical business growth and development areas aligned with Dean Foods Strategic Plan.
Provides expert guidance to the Executive Leadership Team in the evaluation of strategic Corporate Development opportunities.
Working closely with the Dean Foods Executive Leadership, ensures the organization remains on track to deliver against the developed M&A plan.
In conjunction with internal as well as external resources, leads acquisitions and divestiture evaluations and the due diligence process, to ensure a thorough analysis of M&A opportunities.
Identifies and assesses the effect of acquisitions/mergers/divestitures on current and future functions/departments, and presents findings to Executive Team and Board with validation scenarios.
Builds and maintains productive relationships with Dean Executives and leaders, with the targeted company management teams, and with industry and professional networks that can assist in identifying M&A targets.
Ensures plans for post-merger integration are in place.
Identifies and leverages lessons learned on previously completed transactions, including analysis of post-acquisition financial performance.
Leads, coaches, and develops an internal team of M&A professionals.
Performs other duties as requested or required.
Minimum Requirements and Scope:
Bachelor’s degree in Finance or related field; MBA strongly preferred.
A minimum of 10 years working experience, with demonstrated success as the head of a Corporate Development team of a publicly traded company. Private Equity and/or Investment Banking experience also a strong plus and will be considered.
Highly motivated and entrepreneurial with strong accounting & finance, communication, leadership and analytical skills.
Demonstrated experience driving strategic growth through leading M&A activity on a large scale.
Experience in food and beverage preferred, but not required.
Record of identifying, executing, and leading projects and transformational activities at an enterprise wide level, including the integration of value-creating transactions.
Proven ability to execute a wide range of transactions, including but not limited to acquisitions, joint ventures, investments, and divestitures.
Demonstrated success sourcing proprietary acquisitions of private family-owned businesses.
Experience providing hands-on management of M&A transactions, working closely with the BOD, CEO, CFO, and other senior leaders.
Ability to work with extensive cross-functional teams in the execution of M&A duties, and to build productive relationships with employees and other stakeholders throughout all levels, geographies, and functions of the organization.
Ability to work with extensive cross-functional teams in execution of complex M&A duties.
Strong sense of urgency and personal drive to effectively and efficiently execute on transactions.
Exceptional attention to detail.
Ability to travel 30-40%.
